GAP , the largest specialty apparel company in the U.S. and a house of iconic brands including Old Navy, Gap, Banana Republic, and Athleta, today reported financial results for its third quarter ended November 2, 2024. "I'm proud that Gap Inc. delivered another successful quarter, growing net sales for the 4 th consecutive quarter and gaining market share across all brands while meaningfully expanding operating margin," said President and Chief Executive Officer, Richard Dickson . "Consistent execution of our strategic priorities, including the rigor and repetition we're applying to our brand reinvigoration playbook, is making us a stronger company and demonstrates our continued progress in unlocking Gap Inc.'s full potential." Third Quarter Fiscal 2024 – Financial Results Net sales of $3.8 billion were up 2% compared to last year. Comparable sales were up 1% year-over-year. Due to the 53 rd week in fiscal 2023, in order to maintain consistency, comparable sales for the third quarter of fiscal 2024 are compared to the 13 weeks ended November 4, 2023 . Store sales decreased 2% compared to last year. The company ended the quarter with 3,603 store locations in about 40 countries, of which 2,544 were company operated. Online sales increased 7% compared to last year and represented 40% of total net sales. Gross margin of 42.7% increased 140 basis points versus last year's gross margin. Merchandise margin increased 90 basis points versus last year primarily driven by improved inventory management. Rent, occupancy, and depreciation (ROD) as a percent of sales leveraged 50 basis points versus last year. Operating expense was $1.3 billion . Operating income was $355 million ; operating margin of 9.3%. The effective tax rate was 24%. Net income of $274 million ; diluted earnings per share of $0.72 . Balance Sheet and Cash Flow Highlights Ended the quarter with cash, cash equivalents and short-term investments of $2.2 billion , an increase of 64% from the prior year. Year-to-date net cash from operating activities was $870 million . Year-to-date free cash flow , defined as net cash from operating activities less purchases of property and equipment, was $540 million . Ending inventory of $2.33 billion was down 2% compared to last year. Capital expenditures were $330 million . Paid a third quarter dividend of $0.15 per share, totaling $57 million. The company's Board of Directors approved a fourth quarter fiscal 2024 dividend of $0.15 per share. The provincial government opened the floodgates to the City of Winnipeg Saturday, falling 6-0 in a match-up 50 years in the making. The event was held in honour of Winnipeg’s 150th anniversary – a rematch of the 1974 game between then-mayor Stephen Juba and former premier Edward Schreyer during the city’s centennial. Saturday’s event saw Mayor Scott Gillingham, councillors and city staff go head-to-head with Premier Wab Kinew and members of the legislative assembly. “We know that the city probably has a stacked team, so we’re coming in as the underdogs and looking to have some fun,” Kinew told reporters before puck drop. “Manitoba, Winnipeg, we're a hockey province, we're a hockey city,” said Gillingham. Both Gillingham and Kinew said the game was a way to put politics aside and come together on the ice. “Usually, when we're talking to one another as politicians, we usually deal with big issues, so it's nice to be able to come out just have some fun,” the mayor said. “Hockey brings us together, right? Hockey is one of those great things. Doesn't matter where you come from, different backgrounds, once you hit the ice, we're all the same,” said Kinew. “We might have a bet or something like that, in terms of who’s going to pay for fixing the roads, or maybe the North End water plant,” the premier joked. After the game, Gillingham credited the women on the team, who hail from various city departments, for the win. Gillingham was also congratulated on the ice by fellow city councillors. Among them, Fort Rouge-East Fort Garry representative Sherri Rollins, who greeted the mayor by dunking a water bottle over his head. “Lots of fun,” said Gillingham, before thanking everyone for coming to the event.

The Supreme Court opted not to resolve the underlying legal dispute, determining that the case should not have been taken up. Its action leaves the lower court’s decision in place. The court’s dismissal came in a one-line order that provided no explanation. The Facebook dispute was one of two cases to come before the Supreme Court this month involving the right of private litigants to hold companies to account for alleged securities fraud. The other one, involving the artificial intelligence chipmaker Nvidia, was argued on Nov. 13. The Supreme Court has not ruled yet in the Nvidia case. The Case The plaintiffs in the Facebook case claimed the company unlawfully withheld information from investors about a 2015 data breach involving British political consulting firm Cambridge Analytica that affected more than 30 million Facebook users. They accused Facebook of misleading investors in violation of the Securities Exchange Act, a 1934 federal law that requires publicly traded companies to disclose their business risks. Facebook’s stock fell following 2018 media reports that Cambridge Analytica had used improperly harvested Facebook user data in connection with Donald Trump’s successful U.S. presidential campaign in 2016. The investors have sought unspecified monetary damages in part to recoup the lost value of the Facebook stock they held. At issue was whether Facebook broke the law when it failed to detail the prior data breach in subsequent business-risk disclosures and instead portrayed the risk of such incidents as purely hypothetical. Facebook spokesperson Andy Stone expressed disappointment “in the Supreme Court’s decision not to clarify this part of the law.” “The plaintiff’s claims are baseless and we will continue to defend ourselves as this case is considered by the district court,” Stone said. Facebook argued that it was not required to reveal that its warned-of risk had already materialized because “a reasonable investor” would understand risk disclosures to be forward-looking statements. President Joe Biden’s administration supported the shareholders in the case. U.S. District Judge Edward Davila dismissed the lawsuit but the San Francisco-based 9th U.S. Circuit Court of Appeals revived it, prompting Facebook’s appeal to the Supreme Court. George Washington University law professor Alan Morrison said that following the Supreme Court’s dismissal of Facebook’s appeal, the plaintiffs would be expected to seek discovery, process that involves the exchange of information among parties in a case. Morrison added that Facebook “might renew their motion to dismiss under a somewhat different standard – partially for purposes of delay.” The Cambridge Analytica data breach prompted U.S. government investigations into Facebook’s privacy practices, various lawsuits, and a U.S. congressional hearing. The U.S. Securities and Exchange Commission in 2019 brought an enforcement action against Facebook over the matter, which the company settled for $100 million. Facebook paid a separate $5 billion penalty to the U.S. Federal Trade Commission over the issue. The Supreme Court, in prior rulings, has limited the authority of the Securities and Exchange Commission, the federal agency that polices securities fraud.
