(the " Company "), yesterday announced that, pursuant to that certain Agreement and Plan of Merger, dated as of July 11, 2024 , by and among the Company, BCPE Pequod Buyer, Inc. (" Parent "), a Delaware corporation, and BCPE Pequod Merger Sub, Inc. (" Merger Sub "), a Delaware corporation and a wholly owned subsidiary of Parent (the "Merger Agreement"), Merger Sub merged with and into the Company (the " Merger "), with the Company continuing as the surviving corporation. At the effective time of the Merger, each share of common stock, par value $0.005 per share, of the Company (the " Common Shares ") (other than any Common Shares (i) owned by Parent (or any of its affiliates), Merger Sub or the Company or any direct or indirect wholly owned subsidiaries of Parent (or any of its affiliates), Merger Sub or the Company, (ii) that are Rollover Shares (as defined in the Merger Agreement), (iii) held in treasury of the Company, and (iv) as to which appraisal rights have been properly exercised in accordance with Delaware law) was automatically cancelled, extinguished and converted into the right to receive $63.15 in cash per one Common Share. As a result, a Share Exchange Event and a Make-Whole Fundamental Change occurred under each of the Indenture, dated as of August 20, 2020 , among the Company, the guarantor party thereto and U.S. Bank Trust Company, National Association, as successor in interest to U.S. Bank National Association, as trustee (the " Trustee "), which governs the Company's 0.75% Convertible Notes due 2025 (the " 2025 Notes ") (such indenture, the " 2025 Indenture ") and the Indenture, dated of November 17, 2022 , among the Company, the guarantor party thereto and the Trustee, which governs the Company's 2.625% Convertible Notes due 2027 (the " 2027 Notes ", and together with the 2025 Notes, collectively and individually, the " Notes ") (such indenture, the " 2027 Indenture ", and together with the 2025 Indenture, collectively, the " Indentures ", and each, an " Indenture ", as applicable), triggering the adjustments to the conversion rights as described below. The effective date of the Share Exchange Event and Make-Whole Fundamental Change was November 25, 2024 (the " Effective Date "). Capitalized terms used and not defined herein have the meanings ascribed to them in the applicable Indenture. The Company announced that, pursuant to the terms of the respective Indenture, in connection with the consummation of the Merger which constitutes a Share Exchange Event under each Indenture, the Company and the Trustee entered into supplemental indentures to each Indenture providing that, following the effective date of the Merger, the right to convert each $1,000 principal amount of Notes into shares of common stock of the Company at the then applicable conversion rate shall be changed into a right to convert such principal amount of Notes solely into a number of units of Reference Property in an aggregate amount equal to the applicable conversion rate in effect on the conversion date (as may be increased by any Additional Shares), multiplied by $63.15 , the price paid per share of Common Stock in the Merger. Because the Merger constituted a Make-Whole Fundamental Change, the Notes are convertible, at the option of the Holder, at any time from the Effective Date until 5:00 p.m. , New York City time, on the business day immediately preceding the Fundamental Change Purchase Date to be determined by the Company and separately announced to the Holders in accordance with the terms of the Indentures as a result of the Merger (the " Conversion Period "). Also because the Merger constituted a Make-Whole Fundamental Change, the conversion rate for the 2027 Notes will be temporarily increased during the Conversion Period. Such conversion rate per $1,000 principal amount of the 2027 Notes increased by 3.2973 units of Reference Property from 13.6304 units of Reference Property to 16.9277 units of Reference Property. The Company's conversion obligation with respect to Notes that are converted prior to the end of the Conversion Period will be fixed at an amount in cash equal to $591.602 per $1,000 principal amount of the 2025 Notes validly surrendered for conversion, and $1,068.984 per $1,000 principal amount of the 2027 Notes validly surrendered for conversion. The right of the Holders to convert their Notes is separate from the right, at the Holder's option, to submit their Notes for purchase upon a Fundamental Change. If a Holder submits a Fundamental Change Purchase Notice, such Holder may not surrender such Notes for conversion unless the Holder validly withdraws such Fundamental Change Purchase Notice prior to the Fundamental Change Expiration Time. Holders should review the applicable Indenture carefully and should consult with their own financial and tax advisors. None of the Company, Merger Sub, Parent or any of their respective affiliates, or any of its or their respective boards of directors, employees, advisors or representatives or U.S. Bank Trust Company, National Association, in its capacity as trustee, paying agent or conversion agent with respect to the Notes, is making any representation or recommendation to any Holder as to whether or not to surrender or convert that Holder's Notes. The party had 12 TDs in the last Dáil and was the third stool in a three party government. Speaking at the count centre in Dublin West, party leader Mr O’Gorman said it was clear his party had “not had a good day” and it was likely that it could drop from 12 seats to two or three. “I know a number of my colleagues are a bit scared they will lose their seats,” he said. READ MORE: Follow live updates and reaction as results are declared READ MORE: Early tallies in Dublin Central show Gerry 'The Monk' Hutch performing well with first preferences “We’re in the fight in a couple of places, including here in Dublin West. I’m fifth now on the tallies in a five seater,” he said. “I’m narrowly ahead but ahead for the fifth seat. In a number of constituencies, we’ll be in contention for the final seat. “Undoubtedly, it is a disappointing result for our party today. We got a mandate in 2020, and that was a mandate to go into government to act on climate change and to support families and children all over the country. We did that. “We worked hard over four-and-a-half years. We have our lowest carbon emissions in the last 30 years. We’ve invested in public transport, we halved the cost of childcare. We’ve made very significant legislative reforms as well. “But it is hard for a smaller party in government. That’s long been the tradition, the history in Ireland. We hoped going into the election we’d buck that, but we haven’t been able to buck that today. “I think at this stage, it is probably looking at two to three [seats]. I think that is what we are looking at at the moment. Some very good colleagues who have worked incredibly hard over the last four and a half years, and some fantastic candidates as well won’t be making it over the line, this time around.” With 100% of boxes tallied in Dublin South-West, Francis Noel Duffy looks likely to lose his seat with just 2.9%. His wife, Catherine Martin, is also in danger in Dublin Rathdown. In Dun Laoghaire, Ossian Smyth is fighting for his seat but trailing behind two Fine Gael candidates, Fianna Fáil, People Before Profit and Sinn Féin in the four-seater constituency. In Dublin Fingal West, Joe O’Brien was on 6.2% first preference when all the boxes were tallied and is unlikely to keep his seat in the three-seat constituency. In Dublin South Central, Patrick Costello was on 6% and also looks unlikely to keep his seat, as does Neasa Hourigan in Dublin Central where she was also on 6%. Marc Ó Cathasaigh is also likely to lose his seat, winning just 3% of first preference votes in Waterford. Brian Leddin is also expected to lose his seat in Limerick City. Mr O’Gorman is still in the running in Dublin West, but is facing a very, very tight race. At the RDS, former Green Party leader Eamon Ryan told reporters that smaller parties should not be put off going to government. He said: “We're all committed to delivering a green future for this country.” He added: “No matter what the result today, there will be a strong Green Party in Ireland” Follow updates, breaking news and top stories as they happen below. Judging by latest tallies he is clearly going to lose his seat in the constituency with just 6.2pc of first preference votes. In the 2024 elections tallies have showed he has roughly 1,793 first preference votes so far in comparison to the 8,400 first preference votes he got on the first count back in 2020. Speaking to the Irish Independent at the National Show Centre in Swords he thanked his campaign team for the hard work over the past couple of months. 'I've lost my seat anyway' says outgoing Green Party TD Joe O'Brien "We put an awful lot of work in... we are walking away, a lot of us with essential achievements, and that's what we're gonna hang on to,” Minister O’Brien said. "We hope we retain some few seats so that a lot of the things that we've got done... don't get that slip away in the next door, that would be our concern. "I've lost my seat anyway, and that's very disappointing from my point of view. But as I said, you know, we put a lot of work in,” he added. He said that the redrawing of the constituency definitely hindered his likelihood to retain his seat “losing half of his base”. "We knew that risk, and that's, that's politics, that's the way it goes. Sometimes it seems to be that that's continuing to be the pattern in Irish politics,” he said. "If you're given a mandate by the people, I think you have a responsibility to step up to the place and follow through, regardless of who you may or may not have to collaborate with in government. Election Extra: Shinners surge, shy Fianna Fáilers and Hutch well in contention (Live From The RDS) "Our message will always remain relevant, and we as a group of politicians and activists, will always remain committed, and we'll be there waiting again,” he added. The news comes after Green Party leader Roderic O’Gorman confirmed that the party are not performing well so far and expect to retain only roughly 2 or 3 of the 12 seats the previously had. 1pm: The first count has gotten well underway with rumours that we will only get results after 3pm. 11.30am: 100pc of the boxes in Fingal West have been opened and tallied. Here are the final results: The estimated quota for Fingal West is 7,295 Sinn Féin's Louise O'Reilly is still leading the pack but will likely be just shy of making the quota on the first count. Battling it out for the two remaining seats will be Robert O'Donoghue of the Labour Party, Fine Gael's first time candidate Grace Boland and Fianna Fáil's Lorraine Clifford Lee. Final tally results for Fingal West at 11.30am 10.30am: Early tallies in Dublin Fingal West show Sinn Féin's Louise O'Reilly ahead, but with Fine Gael's and Labour's candidates close behind. Over two third of boxes have now been opened. Outgoing Green Party minister of state Joe O'Brien is currently lagging behind but he'll be hoping to see his position improve as more votes from Balbriggan are yet to be tallied. It might be a close race yet for Fine Gael’s Grace Boland and Fianna Fáil Senator Lorraine Clifford Lee. Calling it now, it looks like Louise O’Reilly might be elected on the first count, all going well for her. ( MENAFN - The Peninsula) AFP Pristina: Kosovo arrested several suspects Saturday after an explosion at a key canal feeding two of its main power plants, while neighbouring Serbia rejected accusations of staging the blast. The explosion Friday near the town of Zubin Potok, which sits in an ethnic Serb-dominated area in Kosovo's troubled north, damaged a canal that supplies water to hundreds of thousands of people and cooling systems at two coal-fired power plants that generate most of Kosovo's electricity. As security forces swarmed the area around the canal, whose concrete walls were left with a gaping hole gushing water, Prime Minister Albin Kurti visited the site and announced authorities had arrested several people. Law enforcement "carried out searches" and "collected testimony and evidence, and the criminals and terrorists will have to face justice and the law," he said. The arrests follow a security meeting late Friday, when Kurti pointed the finger at Serbia. "The attack was carried out by professionals. We believe it comes from gangs directed by Serbia," he told a press conference, without providing evidence. Serbian President Aleksandar Vucic hit back Saturday, denying the "irresponsible" and "baseless accusations". "Such unfounded claims are aimed to tarnish Serbia's reputation, as well as to undermine efforts to promote peace and stability in the region," he said in a statement to AFP. Serbian Foreign Minister Marko Djuric had earlier suggested on X that the Kosovar "regime" could itself be behind the blast, calling for an international investigation. The main political party representing Serbs in Kosovo, Serb List, also condemned the attack "in the strongest possible terms". AFP journalists at the scene saw water leaking heavily from one side of the reinforced canal, which runs from the Serb-majority north of Kosovo to the capital, Pristina. However, electricity supplies to consumers were running smoothly on Saturday morning, with authorities having found an alternative method to cool the plants, said Kosovo's Economy Minister Artane Rizvanolli. Repair work was ongoing, authorities said, while Kurti confirmed workers had managed to restore water flows to 25 percent capacity. Fears of 'escalation' The United States strongly condemned the "attack on critical infrastructure in Kosovo", the US embassy in Pristina said in a statement on Facebook. "We are monitoring the situation closely... and have offered our full support to the government of Kosovo to ensure that those responsible for this criminal attack are identified and held accountable." Turkey's foreign ministry also condemned the attack, adding: "We call on all parties to exercise restraint to avoid escalation in the region." The NATO-led KFOR peacekeeping mission for Kosovo joined the calls for restraint. "It is important that facts are established and that those responsible are held accountable and brought to justice," it said in a statement. The force is providing security in the surrounding area and has offered logistical, explosives removal and engineering support to the Kosovo authorities, it added. The European Union's ambassador to Kosovo, Aivo Orav, joined the international condemnation, saying on X: "The incident needs to be investigated and those responsible brought to justice." Animosity between ethnic Albanian-majority Kosovo and Serbia has persisted since the end of the war between Serbian forces and ethnic Albanian insurgents in the late 1990s. Kosovo declared independence in 2008, a move that Serbia has refused to acknowledge. Kurti's government has for months sought to dismantle a parallel system of social services and political offices backed by Belgrade to serve Kosovo's Serbs. Albanian Prime Minister Edi Rama on Saturday denounced "the act of sabotage on the critical water supply infrastructure in the Iber-Lepenc Canal" in comments on X, calling it "a serious crime that endangers the lives of Kosovo's citizens and undermines the process of normalizing relations in our region." Friday's attack came after a series of violent incidents in northern Kosovo, including the hurling of hand grenades at a municipal building and a police station earlier this week.
