(" Parent "), a Delaware corporation, and BCPE Pequod Merger Sub, Inc. (" Merger Sub "), a Delaware corporation and a wholly owned subsidiary of Parent (the "Merger Agreement"), Merger Sub merged with and into the Company (the " Merger "), with the Company continuing as the surviving corporation. At the effective time of the Merger, each share of common stock, par value $0.005 per share, of the Company (the " Common Shares ") (other than any Common Shares (i) owned by Parent (or any of its affiliates), Merger Sub or the Company or any direct or indirect wholly owned subsidiaries of Parent (or any of its affiliates), Merger Sub or the Company, (ii) that are Rollover Shares (as defined in the Merger Agreement), (iii) held in treasury of the Company, and (iv) as to which appraisal rights have been properly exercised in accordance with Delaware law) was automatically cancelled, extinguished and converted into the right to receive $63.15 in cash per one Common Share. As a result, a Share Exchange Event and a Make-Whole Fundamental Change occurred under each of the Indenture, dated as of August 20, 2020 , among the Company, the guarantor party thereto and U.S. Bank Trust Company, National Association, as successor in interest to U.S. Bank National Association, as trustee (the " Trustee "), which governs the Company's 0.75% Convertible Notes due 2025 (the " 2025 Notes ") (such indenture, the " 2025 Indenture ") and the Indenture, dated of November 17, 2022 , among the Company, the guarantor party thereto and the Trustee, which governs the Company's 2.625% Convertible Notes due 2027 (the " 2027 Notes ", and together with the 2025 Notes, collectively and individually, the " Notes ") (such indenture, the " 2027 Indenture ", and together with the 2025 Indenture, collectively, the " Indentures ", and each, an " Indenture ", as applicable), triggering the adjustments to the conversion rights as described below. The effective date of the Share Exchange Event and Make-Whole Fundamental Change was November 25, 2024 (the " Effective Date "). Capitalized terms used and not defined herein have the meanings ascribed to them in the applicable Indenture. The Company announced that, pursuant to the terms of the respective Indenture, in connection with the consummation of the Merger which constitutes a Share Exchange Event under each Indenture, the Company and the Trustee entered into supplemental indentures to each Indenture providing that, following the effective date of the Merger, the right to convert each $1,000 principal amount of Notes into shares of common stock of the Company at the then applicable conversion rate shall be changed into a right to convert such principal amount of Notes solely into a number of units of Reference Property in an aggregate amount equal to the applicable conversion rate in effect on the conversion date (as may be increased by any Additional Shares), multiplied by $63.15 , the price paid per share of Common Stock in the Merger. Because the Merger constituted a Make-Whole Fundamental Change, the Notes are convertible, at the option of the Holder, at any time from the Effective Date until 5:00 p.m. , New York City time, on the business day immediately preceding the Fundamental Change Purchase Date to be determined by the Company and separately announced to the Holders in accordance with the terms of the Indentures as a result of the Merger (the " Conversion Period "). Also because the Merger constituted a Make-Whole Fundamental Change, the conversion rate for the 2027 Notes will be temporarily increased during the Conversion Period. Such conversion rate per $1,000 principal amount of the 2027 Notes increased by 3.2973 units of Reference Property from 13.6304 units of Reference Property to 16.9277 units of Reference Property. The Company's conversion obligation with respect to Notes that are converted prior to the end of the Conversion Period will be fixed at an amount in cash equal to $591.602 per $1,000 principal amount of the 2025 Notes validly surrendered for conversion, and $1,068.984 per $1,000 principal amount of the 2027 Notes validly surrendered for conversion. The right of the Holders to convert their Notes is separate from the right, at the Holder's option, to submit their Notes for purchase upon a Fundamental Change. If a Holder submits a Fundamental Change Purchase Notice, such Holder may not surrender such Notes for conversion unless the Holder validly withdraws such Fundamental Change Purchase Notice prior to the Fundamental Change Expiration Time. Holders should review the applicable Indenture carefully and should consult with their own financial and tax advisors. None of the Company, Merger Sub, Parent or any of their respective affiliates, or any of its or their respective boards of directors, employees, advisors or representatives or U.S. Bank Trust Company, National Association, in its capacity as trustee, paying agent or conversion agent with respect to the Notes, is making any representation or recommendation to any Holder as to whether or not to surrender or convert that Holder's Notes. "I've had a chance to watch three of their games," Graves said. "They're a team that likes to get up and down the floor, they're very aggressive defensively and they're a team that's very dangerous if you let them get in a rhythm." The Sycamores are coming off a 94-84 victory at Ball State on Saturday that saw Camp Wagner drop 19 with multiple buckets from beyond the 3-point arc. Graves said they learned about getting better together against the Cardinals. Graves is looking for Wagner to move without the ball, take really good shots and compete defensively as he did Saturday. But it's not just been Wagner growing and making progress in his game, but the team as a whole from its loss to SIU-Edwardsville to its win at Ball State, Graves has seen the whole team making strides. "It's been a process, but from our first two closed scrimmages through our first couple games, just seeing guys make progress, get better with their understanding in their roles and being able to adapt within the flow of the game," Graves said. While Chicago State is not a conference opponent, he said it's another opportunity to get better, have shared experiences on the court and play at home in front of their fans. "You only get so many of these opportunities and you don't want to get any of them for granted," Graves said. With the loss to SIUE and then emerging victorious at Ball State, Graves said he thinks it's just guys getting comfortable. "The more repetitions we get with the lights on, the officials and the fans, the better we're going to get," Graves said. "It's not going to be perfect. We're going to continue to have our ups and downs, but just to see that continued growth from Game 1 to Game 5 to Game 10, I expect us to be a little bit better each time we come out on to the floor." While ISU found the key to winning Saturday, Chicago State (0-5) continues to search for its first victory of the season. Most recently, the Cougars lost 86-66 at home to Eastern Kentucky with leading scorer Gabe Spinelli dropping 15 points. Indiana State's Samage Teel is a top player in the Missouri Valley Conference assist-wise, averaging 5.5 per game, while Wagner is tied for second in 3-point field goals made with 10 and an average of 3.33 a game.

Trump has flip-flopped on abortion policy. His appointees may offer clues to what happens next
For many women, words from an emboldened fringe of “manosphere” influencers who have seized on Republican Donald Trump ’s presidential win to amplify misogynistic derision and threats online represent a worrying harbinger of what might lie ahead as some men perceive the election results as a rebuke of reproductive and women’s rights. Many of those right-wing influencers have appropriated a 1960s abortion rights rallying cry, declaring “Your body, my choice” at women online and on college campuses. Isabelle Frances-Wright, director of technology and society at the Institute for Strategic Dialogue , a think tank focusing on polarization and extremism, said she had seen a “very large uptick in a number of types of misogynistic rhetoric immediately after the election,” including some “extremely violent misogyny.” The phrase “Your body, my choice” has been largely attributed to an Election Day post on the social platform X from Nick Fuentes, a Holocaust-denying white nationalist and far-right internet personality who dined at Trump’s Mar-a-Lago club in Florida two years ago (In statements responding to criticism of that event, Trump said he had “never met and knew nothing about” Fuentes before he arrived). Mary Ruth Ziegler, a law professor at the UC Davis School of Law, said the phrase transforms the iconic abortion rights slogan into an attack on women. “The implication is that men should have control over or access to sex with women,” said Ziegler, a reproductive rights expert. Fuentes’ post had 35 million views on X within 24 hours, according to a report by Frances-Wright’s think tank. The phrase spread rapidly to other social media platforms. Women on TikTok have reported seeing it inundate their comments. The slogan also has made its way offline with boys chanting it in middle schools or men directing it at women on college campuses, according to the Institute for Strategic Dialogue report and social media posts. School districts have sent notices about the language to parents. T-shirts emblazoned with the phrase were pulled off Amazon. Sadie Perez, a 19-year-old political science student in Wisconsin, said she has seen men respond to shared Snapchat stories for their college class with “Your body, my choice.” “It makes me feel disgusted and infringed upon,” she said. “... It feels like going backwards.” Misogynistic attacks have been part of the social media landscape for years. But Frances-Wright and others who track online extremism and disinformation said language glorifying violence against women or celebrating the possibility of their rights being stripped away has spiked since the election. Online declarations for women to “Get back in the kitchen” or to “Repeal the 19th,” a reference to the constitutional amendment that gave women the right to vote, have spread rapidly. In the days surrounding the election, the extremism think tank, which has an office in Washington D.C., found that the top 10 posts on X calling for repeal of the 19th Amendment received more than 4 million views collectively. A man holding a sign with the words “Women Are Property” sparked an outcry at Texas State University . The man was not a student, faculty or staff, and was escorted off campus, according to the university’s president . Anonymous rape threats have been left on the TikTok videos of women denouncing the election results. And on the far-flung reaches of the web, 4chan forums have called for “rape squads” and the adoption of policies in “The Handmaid’s Tale,” a dystopian book and TV series depicting the dehumanization and brutalization of women. “What was scary here was how quickly this also manifested in offline threats,” Frances-Wright said, emphasizing that online discourse can have real-world impacts. Previous violent rhetoric on 4chan has been connected to racially motivated and antisemitic attacks, including a 2022 shooting by a white supremacist in Buffalo that killed 10 people . We have launched our year-end campaign. Our goal: Raise $50,000 by Dec. 31. Help us get there. Times of San Diego is devoted to producing timely, comprehensive news about San Diego County. Join the growing list of donors investing in our community's long-term future. The Global Project Against Hate and Extremism reported similar rhetoric, with “numerous violent misogynistic trends” gaining traction on right-wing platforms such 4chan and spreading to more mainstream ones such as X since the election. Throughout the presidential race, Trump’s campaign leaned on conservative podcasts and tailored messaging toward disaffected young men . As Trump took the stage at the Republican National Convention over the summer, the song “It’s A Man’s Man’s Man’s World” by James Brown blared from the speakers. One of several factors to his success this election was modestly boosting his support among men , a shift concentrated among younger voters, according to AP VoteCast, survey of more than 120,000 voters nationwide. But Trump also won support from 44% of women age 18 to 44, according to AP VoteCast. To some men, Trump’s return to the White House is seen as a vindication, gender and politics experts said. For many young women, the election felt like a referendum on women’s rights and Democratic Vice President Kamala Harris ’ loss felt like a rejection of their own rights and autonomy. “For some of these men, Trump’s victory represents a chance to reclaim a place in society that they think they are losing around these traditional gender roles,” Frances-Wright said. None of the current online rhetoric is being amplified by Trump or anyone in his immediate orbit. But Trump has a long history of insulting women , and the spike in such language comes after he ran a campaign centered on masculinity with repeated attacks on Harris over race and gender . “With Trump’s victory, many of these men felt like they were heard, they were victorious,” said Dana Brown, executive director of the Pennsylvania Center for Women and Politics. Brown said some young men feel they’re victims of discrimination and have expressed mounting resentment for successes of the women’s rights movement, including #MeToo . The tension also has been influenced by socioeconomic struggles. As women become the majority on college campuses and many professional industries see increasing gender diversity, it has “led to young men scapegoating women and girls, falsely claiming it’s their fault they’re not getting into college anymore as opposed to looking inward,” Brown said. CORVALLIS – Time to review Oregon State’s 41-38 win over Washington State from Saturday at Reser Stadium with eight takeaways: 1. The first question we have Where does Oregon State hang the Pac-12 championship banner in Reser Stadium? Does the school paint a sign on one of the end zone walls? Or perhaps a “kick me” size sign pinned to the back of Benny Beaver? 2. Best win of the season? Some on social media have rated the Beavers’ win over Washington State as its best performance of the season. Better than the historic shutout at San Diego State? The overtime win over Colorado State? Yeah, probably. None of those teams have eight wins like Washington State. None of those teams were in the College Football Playoff chase at some point in November like WSU. None of those teams had an offense statistically rated among the country’s top 10 like the Cougars. Oregon State’s offense seemed left for dead after its no-show a week ago at Air Force. But here were the Beavers, producing 484 yards and five touchdowns against Washington State. The offense, which had struggled in the red zone the past three weeks, was 4-for-4, all touchdowns. Quarterback John Mateer had a day with 250 passing yards, 75 rushing yards and a combined four touchdowns. But no one else on the Cougars went off. WSU had 384 yards offense, 77 under its season average. The OSU defense also chipped in with a timely takeaway inside the final two minutes that led to the game-winning field goal. It had six tackles for loss, the second highest total of the season. Special teams contributed two field goals, including the fourth longest in school history that won the game. Yeah, probably? No, definitely. Oregon State football 2024 season schedule, scores Sign up for The Beavers Beat newsletter 3. Not much separates WSU and OSU Washington State came into the game as 12-point favorite, an 8-2 record and a bowl berth long ago sewed up. While Oregon State was reeling with a five-game losing streak and coming off its first shutout loss in nine years. Yet what happened Saturday night we should have seen coming. Washington State has been living on the edge all season, and it’s just now coming back to bite the Cougars. WSU has been remarkably clutch in one-score games, as it pulled out last second wins over Washington, San Jose State, Fresno State and San Diego State. The Cougars have finally come back to the middle the past two weeks, losing close games at New Mexico and OSU. The Beavers, meanwhile, were probably due to pull one out. They lost narrowly to Nevada, UNLV and San Jose State, while outlasting Colorado State. 4. Nothing to lose That seemed to be Trent Bray’s mindset. Anything close on fourth down, and Oregon State was going for it. Worked, too, as the Beavers were 4-of-5 on fourth down. Converting fourth down plays came on drives that produced three touchdowns and a field goal. The biggest fourth down gamble was the last one. The game was tied at 38-38, one minute remaining and the Beavers faced with fourth-and-six at the WSU 45. This wasn’t within Ben Gulbranson sneak range, or a short run by Anthony Hankerson. Also, misfire, and Washington State is suddenly within 20 yards of field goal range to win the game. Hardly a slam dunk decision for Bray. Punting was on the table. “We went back and forth, but the final decision was, you give them the ball back with a minute and two timeouts. That’s an eternity. We’re going to go win this thing,” Bray said. It paid off, as Ben Gulbranson threw for seven yards to Trent Walker for a first down. Four plays later, Everett Hayes kicked a 55-yard field goal for the go-ahead score. The 4-of-5 conversions on fourth down matched a season high. The Beavers are 21 of 36 on fourth down this season. 5. Suddenly, a bowl berth isn’t that far fetched Oregon State won a game as an 11-point underdog against Washington State. Who’s to say the Beavers can’t march into Boise State and keep it going Friday and achieve bowl eligibility? I know, I know, you’re saying it’s impossible. But that was the tone Saturday morning on social media, as everyone but Pat McAfee was not only picking OSU to lose to Washington State, but get its doors blown off. Winning at Boise State will be difficult. But one big factor will be worth watching this week: the health of running back Ashton Jeanty. The Boise State standout suffered a lower leg injury during the second half of Saturday’s 17-13 win at Wyoming. Jeanty eventually returned to the game after he was sidelined for a few series. But who knows if Jeanty was staving off pain with adrenaline or not. It’s the days after a such an injury that can be the worst. Jeanty or not, beating the Broncos in Boise is a tough ask. Oregon State is 1-3 at Albertsons Stadium. The Beavers have lost the last three road games to Boise State by margins of 19, 28 and 13 points. 6. What if this becomes a two-game winning streak? The Beavers now have a pulse, one that was revived Saturday after the debacle eight days ago at Air Force. One win, and Oregon State is headed to a bowl somewhere. It might be played in Shreveport or Tampa or Fort Worth, but it’s a bowl. Are we predicting an Oregon State win at Boise State? No, we are not. But it will not be surprising if the Beavers give the Broncos all they can handle. There’s also the matter of Boise State’s College Football Playoff run. Expectations are heavy, and they’re starting to weigh on the Broncos. Boise State is no longer on the winning end of blowouts. The Broncos were all out to beat Nevada and Wyoming, and even their 42-21 win over San Jose State on November 16 was dressed up with two touchdowns during the final two minutes. 7. Dual quarterbacks As is becoming a theme of late, Oregon State loves tinkering with its quarterback rotation. Saturday, the Beavers started Gulbranson , but liberally sprinkled in the use of Gabarri Johnson. The redshirt freshman took 12 of the team’s 83 offensive snaps, running six times for 47 yards and a touchdown. Johnson also completed one pass for 20 yards. Bray praised offensive coordinator Ryan Gunderson’s game plan, saying “I thought what we did with Gabarri and how we used his legs helped us move the ball. I think they did a good job of narrowing it down. Less is more. That’s what we found today.” 8. Senior Day stars, but youngsters also have a game On a day when 19 Oregon State players were honored on Senior Day, many played a starring role. Gulbranson passed for a career-high 294 yards and two touchdowns. Cornerback Jaden Robinson had the fumble recovery that led to Hayes’ game-winning kick. Tight end Jermaine Terry II caught five passes for 92 yards and a touchdown play of 43 yards. Hayes kicks field goals of 47 and 55 yards. Semisi Saluni had a sack, just OSU’s second in four games. But newcomers to the lineup also made an impact. Johnson, Darrius Clemons and Salahadin Allah scored their first touchdowns as Beavers. Safety Jaheim Patterson had his best game in an OSU uniform with four tackles, one for a loss. Andy Alfieri, recently moved to defense from tight end, had a team-high two tackles for loss. Freshman cornerback Exodus Ayers forced the fumble that Robinson recovered. -- Nick Daschel can be reached at 360-607-4824, ndaschel@oregonian.com or @nickdaschel . Our journalism needs your support. SINGER Jennifer Lopez creates a stir as she cooks up a late feast in a revealing sequin dress. J-Lo, 55, made pasta after a night out and wrote on social media: “My favourite part about going out is coming home for the midnight snack.” Fans called it a “revenge dress” after ex Ben Affleck spent time with former wife Jennifer Garner. Back in August, J-Lo and Ben called it quits after less than two years of marriage. The A-listers tied the knot in a July 2022 Las Vegas ceremony and had a more extravagant celebration the following month in Georgia. Jennifer filed for divorce from Ben after months of split speculation. JLo filed legal documents in Los Angeles County Superior Court pro per - meaning without an attorney. NEW ORLEANS (AP) — Saints quarterback Derek Carr was willing to risk his health to improve New Orleans’ chances of playing meaningful football in mid-December. Now the Saints, who’ve remained mathematically alive in the playoff race by winning three of four, might have to play without Carr again — and it didn’t go well the last time. Saints interim coach Darren Rizzi declined on Monday to rule out Carr for any of New Orleans' final four games because of his injured non-throwing hand or his concussion . Both injuries occurred when he tried to leap for a first down and crashed hard to the turf during the fourth quarter of New Orleans' 14-11 victory over the reeling New York Giants on Sunday. “We’re not going to rule him out just yet,” Rizzi said. “We have to see in the next day or two what the healing process is like and see if he can function. “The good news it’s not his throwing hand,” Rizzi said. “The bad news is we’re obviously dealing with an injury here that we have to kind of play it by ear.” Rizzi noted that Carr must clear the concussion protocol first. After that, he said, the Saints can see how well Carr can operate with his hand injury. “It's been done before,” Rizzi said when asked about the prospect of an NFL QB playing with an injured non-throwing hand. “It appears at moment that it's non-surgical, which is a big aspect of it. ... That's why we're going to discuss the options.” Last season, Los Angeles Chargers QB Justin Herbert played with a fractured finger on his non-throwing hand . Buffalo Bills QB Josh Allen has played part of this season with an injured non-throwing hand . If Carr can't play, his replacement will be either second-year pro Jake Haener or rookie Spencer Rattler. Rattler started three games earlier this season when Carr had an oblique injury — all losses by New Orleans, which was in the midst of a seven-game skid. “We've just got to surround whomever it is and pick him up and get him rolling with the rest of us,” guard Lucas Patrick said. “It's just another step of adversity in this long season that we’ve had.” New Orleans' interior defensive line is coming off one of its better games. Defensive tackles Bryan Bresee and Khalen Saunders accounted for both New Orleans' sacks in New York. The Saints also held the Giants to 112 yards rushing — a lower opponent rushing total than in seven other games this season. The Saints' 92 yards rushing offensively was their fourth-lowest total all season and the lowest in any of their victories. Running back Kendre Miller's future is looking a bit brighter now. He has played in just three games this season because of hamstring injuries and his lack of readiness was criticized by since-fired coach Dennis Allen earlier this season. Miller also has yet to rush for more than 36 yards in a game. But against the Giants, he earned praise for the speed, strength and elusiveness he was able to show on a couple of clutch runs, including an 8-yard run for his first and only touchdown this season. Patrick said Miller deserved credit on his scoring run for staying upright and continuing to push forward — with the help of some teammates — after he was met at the 5-yard line by a Giants defender. Patrick said if Miller didn't give the extra effort and stay on his feet, his teammates would not have had the chance to help push him across the goal line. “Kendre's definitely a bright, young runner and he's exciting to block for,” Patrick said. Blake Grupe was 0 for 2 on field goal attempts, although both were from beyond 50 yards and one was blocked. Those were Grupe's first two failures from beyond 50 yards this season. In addition to Carr, reserve linebacker D’Marco Jackson left Sunday's game with an ankle injury. 0 — The number of games the Saints have won when Carr does not play. They've gone 5-5 in his starts this season. The Saints are back home Sunday against Washington in what could be ex-New Orleans cornerback Marshon Lattimore's first game with the Commanders. The game also marks the return to Louisiana of quarterback Jayden Daniels, who won the Heisman Troply last year at LSU.
