We are in it to win it,” Robinson said in a video posted Thursday on the social media platform X. “And we know that with your help, we will.” Robinson referenced in the video a story that he said CNN was running, but he didn’t give details. “Let me reassure you the things that you will see in that story — those are not the words of Mark Robinson,” he said. “You know my words. You know my character.” The CNN report describes a series of racial and sexual comments Robinson posted on the message board of a pornography website more than a decade ago. CNN reported that Robinson, who would be North Carolina’s first Black governor, attacked civil rights leader Martin Luther King Jr. in searing terms and once referred to himself as a “black NAZI.” CNN also reported that Robinson wrote of being aroused by a memory of “peeping” women in gym showers when he was 14 along with an appreciation of transgender pornography. Robinson at one point referred to himself as a “perv,” according to CNN. The Associated Press has not independently confirmed that Robinson wrote and posted the messages. CNN said it matched details of the account on the pornographic website forum to other online accounts held by Robinson by comparing usernames, a known email address and his full name. CNN reported that details discussed by the account holder matched Robinson’s age, length of marriage and other biographical information. It also compared figures of speech that were used in his public Facebook profile and that appeared in discussions by the account on the pornographic website. Media outlets already have reported about a 2021 speech by Robinson in a church in which he used the word “filth” when discussing gay and transgender people. Robinson has a history of inflammatory comments that Stein has said made him too extreme to lead North Carolina. They already have contributed to the prospect that campaign struggles for Robinson would hurt former President Donald Trump to win the battleground state’s 16 electoral votes, and potential other GOP downballot candidates. Recent polls of North Carolina voters show Trump and Vice President Kamala Harris locked in a close race. The same polls show Stein with a roughly 10-point lead over Robinson. The effective date of the Share Exchange Event and Make-Whole Fundamental Change was November 25, 2024 (the " Effective Date "). Capitalized terms used and not defined herein have the meanings ascribed to them in the applicable Indenture. The Company announced that, pursuant to the terms of the respective Indenture, in connection with the consummation of the Merger which constitutes a Share Exchange Event under each Indenture, the Company and the Trustee entered into supplemental indentures to each Indenture providing that, following the effective date of the Merger, the right to convert each $1,000 principal amount of Notes into shares of common stock of the Company at the then applicable conversion rate shall be changed into a right to convert such principal amount of Notes solely into a number of units of Reference Property in an aggregate amount equal to the applicable conversion rate in effect on the conversion date (as may be increased by any Additional Shares), multiplied by $63.15 , the price paid per share of Common Stock in the Merger. Because the Merger constituted a Make-Whole Fundamental Change, the Notes are convertible, at the option of the Holder, at any time from the Effective Date until 5:00 p.m. , New York City time, on the business day immediately preceding the Fundamental Change Purchase Date to be determined by the Company and separately announced to the Holders in accordance with the terms of the Indentures as a result of the Merger (the " Conversion Period "). Also because the Merger constituted a Make-Whole Fundamental Change, the conversion rate for the 2027 Notes will be temporarily increased during the Conversion Period. Such conversion rate per $1,000 principal amount of the 2027 Notes increased by 3.2973 units of Reference Property from 13.6304 units of Reference Property to 16.9277 units of Reference Property. The Company's conversion obligation with respect to Notes that are converted prior to the end of the Conversion Period will be fixed at an amount in cash equal to $591.602 per $1,000 principal amount of the 2025 Notes validly surrendered for conversion, and $1,068.984 per $1,000 principal amount of the 2027 Notes validly surrendered for conversion. The right of the Holders to convert their Notes is separate from the right, at the Holder's option, to submit their Notes for purchase upon a Fundamental Change. If a Holder submits a Fundamental Change Purchase Notice, such Holder may not surrender such Notes for conversion unless the Holder validly withdraws such Fundamental Change Purchase Notice prior to the Fundamental Change Expiration Time. Holders should review the applicable Indenture carefully and should consult with their own financial and tax advisors. KUALA LUMPUR (Nov 27): Universiti Teknologi Petronas (UTP) has unveiled Malaysia’s first Bachelor of Integrated Engineering (Hons) programme, marking a groundbreaking step in engineering education. Scheduled to be offered next year, this programme reflects the university’s dedication to addressing global challenges and advancing innovation in the field. The programme was developed in collaboration with industry leaders and global academic institutions, and supported by the Ministry of Higher Education, Malaysian Qualifications Agency, and the Board of Engineers Malaysia. In his remarks, UTP vice-chancellor Prof Dato Dr Mohamed Ibrahim Abdul Mutalib emphasised the programme’s transformative approach, blending technical disciplines with humanities to produce engineers who were not only skilled, but also ethical and resilient.
