Each Subscription Receipt will entitle the holder thereof to receive, upon satisfaction of the Release Conditions (as defined below), for no additional consideration, one unit of the Company consisting of one Class A Subordinate Voting Share (each, a “ Share ”) and one-half of one Share purchase warrant, with each whole warrant exercisable at a price of $2.50 for a period of 36 months following the closing of the Offering. The gross proceeds of the Subscription Receipt portion of the Offering, less 50% of the Underwriters’ cash commission and certain expenses of the Underwriters, will be deposited in escrow on closing of the Offering until the satisfaction of certain release conditions, including that all conditions precedent to the Transaction (as defined below) have been met (the “ Release Conditions ”). SAN ANTONIO (AP) — Colorado secured what it said was record insurance coverage for quarterback Shedeur Sanders and Heisman Trophy winner Travis Hunter as the star duo opted to complete their college careers in the Alamo Bowl rather than sit out and prepare for the NFL draft. Colorado would not disclose the amount of insurance coverage each received, citing privacy laws. Stephen Manuel had hoped to pass his love of wrestling on to his sons. But when his wife presented him with seven daughters, it was time for Plan B. The way that worked out has been nothing short of spectacular. Last winter, the Manuel sisters, who wrestle for Romeo, dominated the girls state individual finals, taking two first places and a third. “I’ve been wrestling since kindergarten,” said Kaili Manuel, who took first place at 155 pounds in last weekend’s Macomb County Invitational Classic. “My dad got me started. He was always a wrestler and he wanted his sons to do wrestling — but he got all daughters. So he just started training us. I like it, though.” Stephen Manuel beams with pride when he talks about his daughters. “I’m pretty proud of them,” he said. “Most of them are wrestlers. Some are still pretty young but I’m hoping they’ll want to wrestle. They all put a lot of work in training and it shows on the mat.” Kaili, then a freshman, defeated Rihanna Vengas of Riverview Gabriel Richard 14-4 in the final match at 145 pounds for the state championship. The National Human Rights Commission (NHRC) organised a meeting of the group on environment, climate change and human rights on the theme ‘Climate Change and Human Rights’ in hybrid mode in New Delhi. NHRC’s acting chairperson Vijaya Bharathi Sayani emphasised that climate change is impacting vulnerable communities, particularly tribal people whose traditional livelihoods are directly tied to the environment. She highlighted the ancient wisdom embedded in Indian texts, which underscores the deep connection between humanity and nature, to find solutions to deal with the challenges posed by climate change, the NHRC said in a statement. Some of the suggestions that emanated from the discussions included collecting data on climate change at the district level to understand its dimensions, and collaborating with local communities to develop expertise with sustainable solutions to mitigate its impact is necessary, a senior official said. Other suggestions included promoting research into the reasons and effects of climate change on migration from rural to urban areas in India, and identifying areas prone to climate change to create a “climate-risk atlas and mitigate potential impacts”.
