[You may also click here for additional information] NEW YORK, Nov. 30, 2024 /PRNewswire/ -- Faruqi & Faruqi, LLP , a leading national securities law firm, is investigating potential claims against PACS Group, Inc. ("PACS Group" or the "Company") (NYSE: PACS ) and reminds investors of the January 13, 2025 deadline to seek the role of lead plaintiff in a federal securities class action that has been filed against the Company. Faruqi & Faruqi is a leading national securities law firm with offices in New York, Pennsylvania, California and Georgia. The firm has recovered hundreds of millions of dollars for investors since its founding in 1995. See . As detailed below, the complaint alleges that the Company and its executives violated federal securities laws by making false and/or misleading statements and/or failing to disclose that: (1) that the Company engaged in a "scheme" to submit false Medicare claims which "drove more than 100% of PACS' operating and net income from 2020 – 2023"; (2) that the Company engaged in a "scheme" to "bill thousands of unnecessary respiratory and sensory integration therapies to Medicare"; (3) that the Company engaged in a scheme to falsify documentation related to licensure and staffing; and (4) that, as a result of the foregoing, Defendants' positive statements about the Company's business, operations, and prospects were materially misleading and/or lacked a reasonable basis. On April 11, 2024, PACS Group conducted its IPO, selling 21,428,572 shares of common stock at a price of $21.00 per share, received net proceeds of approximately $450 million. On September 3, 2024, PACS filed with the SEC a registration statement for a secondary offering on Form S-1 (the "SPO Registration Statement"). On September 6, 2024, PACS filed with the SEC a prospectus for the SPO on Form 424B4, which formed part of the SPO Registration Statement (the "SPO Prospectus" and together with the SPO Registration Statement and attendant materials filed or published with these forms, the "SPO Materials." PACS issued 2,777,778 shares of common stock at $36.25 per share for proceeds of $100.7 million to the Company. Through the SPO, PACS insiders also sold 16,256,704 shares of common stock at $36.25 per share for proceeds of $589.3 million. On November 4, 2024, Hindenburg Research published a report based on a 5-month investigation that included interviews with 18 former PACS Group employees, competitors, and an analysis of more than 900 PACS facility cost reports. The report alleged the Company had "abused a COVID-era waiver" in a "scheme" that involved falsely submitting false Medicare claims which "drove more than 100% of PACS' operating and net income from 2020 – 2023, enabling PACS to IPO in early 2024 with the illusion of legitimate growth and profitability." The report further alleged the Company engaged in a scheme to maintain revenue by "bill[ing] thousands of unnecessary respiratory and sensory integration therapies to Medicare Part B regardless of clinical need or outcomes." The report also alleged a widespread practice of falsifying documentation, including by engaging in a "scheme whereby PACS attempts to fool regulators by 'renting' licenses from third parties to 'hang' on buildings" and then "either employs unlicensed administrators or has administrators manage multiple buildings in excess of state mandated limits." Similarly, the report alleges the Company engaged in a scheme related to licensure and staffing of nurses, whereby "PACS secretly lists uncertified nurse aides (NAs) as certified in the system, in an apparent scheme to cheat staffing ratios" and "retroactively add fake RN hours" in order "to meet minimum staffing requirements, boost star ratings, and avoid costly penalties." On this news, the Company's share price fell $11.93 or 27.78%, to close at $31.01 per share on November 4, 2024, on unusually heavy trading volume. Then, on November 6, 2024, before the market opened, the Company announced that it would postpone its fiscal third quarter 2024 earnings release. The Company further disclosed it had "received civil investigative demands from the federal government regarding the Company's reimbursement and referral practices that may or may not be related to this week's third-party report." On this news, the Company's share price fell $11.45 or 38.76%, to close at $18.09 per share on November 6, 2024, on unusually heavy trading volume. By the commencement of this action, PACS Group stock has traded as low as $18.09 per share, a more than 13.9% decline from the $21 per share IPO price. (AP Photo/Stephen Brashear) MINNEAPOLIS (AP) — Minnesota Vikings coach Kevin O'Connell's stirring locker room tribute to his team last week at Seattle was respectfully interrupted by seven-year veteran right tackle Brian O'Neill, who flipped the script on the game ball awards by tossing one to the boss in honor of his second 13-win season in three years. The Vikings have obliterated even the most optimistic of external predictions for this transitional season, taking a sparkling 13-2 record into their matchup against the Green Bay Packers that has made O'Connell the current favorite for the NFL Coach of the Year award. “It’s a credit to who he is as a person, as a coach and as a leader,” tight end T.J. Hockenson said. “We’re very fortunate to be able to play under him.” The Vikings can not only win the NFC North for a second time in three seasons, but get the No. 1 seed with a first-round bye and home-field advantage throughout the NFC tournament if they beat both the Packers at home on Sunday and the Detroit Lions on the road next week. Don't expect the Vikings to ponder that possibility, though, as tantalizing as it would be. “It can be a very tired cliché to talk about going 1-0 until you’ve systematically built your entire operation daily of just trying to do that every single day,” O'Connell said after Minnesota's eighth consecutive victory . “These guys, it’s not a cliché at that point. It becomes part of your football foundation and the makeup of your locker room, of your leadership, your coaching staff.” The Packers could be forgiven for being less than impressed by the impact O'Connell has made, for a reason beyond simply him coaching their biggest rival. Green Bay enjoyed even better out-of-the-gate success under coach Matt LaFleur, who was hired in 2019 and won 13 regular-season games in each of his first three years. Though they're in third place at 11-4, two games behind the Lions and the Vikings, the Packers too have secured a place in the playoffs even if they can't win their loaded division. They'll likely be the visiting team as long as they're alive this postseason. "I think that just all of us going against one another, it’s forced you to be at your best every week," LaFleur said. “You can’t afford a slip-up, just to keep up with everybody.” The road team has won each of the past three matchups in this series. The Packers are 0-4 against the teams with the top three records in the NFC: Detroit, Minnesota and Philadelphia. “We’ve got to be able to go win these games against the really good teams in the league and set ourselves up for the situation we’ll be in for the playoffs,” quarterback Jordan Love said. The running men Aaron Jones rushed for 93 yards on 22 carries for Minnesota in a 31-29 victory at Green Bay on Sept. 29. Released by the Packers for salary cap relief in favor of their premier free agency addition, the three-plus-years-younger Josh Jacobs, Jones just hit the 1,000-yard mark last week and can't hide from the significance of facing his former team. "They respect you because they were on your team or they've seen the work that you put in, but you want to gain their respect in another way from playing against them, like, ‘Man, this dude is really as good as I thought he was,’" Jones said. Jacobs, for his part, is fourth in the NFL entering Week 17 with 1,216 rushing yards for the most by a Packers player in a season since Ryan Grant (1,253) in 2009. Minimizing their mistakes The earlier matchup this season featured seven combined turnovers, four by the Packers and three by the Vikings. Both of these teams are among the NFL's best in the turnover department, with Green Bay at a plus-12 margin and Minnesota at a plus-10. The Packers have allowed a total of three sacks and have committed just two turnovers over their past five games. Picking up the Pace The Vikings are eagerly anticipating the return of second-year linebacker Ivan Pace, the sparkplug who has missed four games on injured reserve with a hamstring strain. They’ll be cautious with him and the tricky nature of that injury, but getting Pace back in the middle of the action with fellow linebacker Blake Cashman would be a big boost to the play-calling options for defensive coordinator Brian Flores. “He flies around. When he blitzes, he’s as impactful as anybody, and when you can really get him and Cash out there at the same time, they both can really play to their strengths,” O’Connell said. “They’re both really good blitzers. Cash is phenomenal in coverage and reading the quarterback, and when you can kind of pair those guys together, run and pass, that’s when we’re at our best.” Kicking correction Brayden Narveson missed both of his field-goal attempts for Green Bay, from 37 and 49 yards, in the two-point decision at Lambeau Field in Week 4. The Packers released Narveson a couple of weeks later in favor of 11-year veteran Brandon McManus, who has gone 16 of 17 on field-goal tries including game-winners as time expired against Houston and Jacksonville. ___ AP NFL: https://apnews.com/hub/NFL Dave Campbell, The Associated Press See a typo/mistake? Buying the right stock at the right time can transform your life. For example, if you had invested $10,000 in electric vehicle (EV) industry leader Tesla in 2014, you would have a whopping $245,300 today. That's a return of over 2,430% in just a decade. Could Rivian Automotive ( RIVN 5.35% ) be the next best thing? Let's explore the pros and cons of this EV start-up to decide if it has multi-bagger potential over the long term. The hype has faded Rivian was at the top of the world when its shares became available through an initial public offering (IPO) in 2021. This was a different time for the EV industry. Tesla had recently become profitable, proving the technology was here to stay. And Rivian's lineup of high-end trucks and EVs promised to fill an overlooked opportunity in the market. With a starting market capitalization of over $100 billion, the company immediately became America's second-most-valuable automaker behind Tesla -- leaving traditional marques like Ford Motor Company and General Motors in the dust. In hindsight, this made very little sense. And the market quickly soured on Rivian as growth stalled and rivals began offering products like the F-150 lighting, Silverado EV, and Cybertruck, which took over its niche. Rivian's third-quarter revenue fell 18% year over year to $874 million on a decline in both production and deliveries. To be fair, the EV industry is much more competitive now than it was when Rivian went public. And macroeconomic challenges like inflation and high interest rates probably aren't helping consumer appetite for its high-end cars. But it's hard to make any excuses for Rivian when rival products like the Tesla Cybertruck are doing so well. According to Kelley Blue Book, Elon Musk's polarizing vehicle has sold a whopping 28,240 units so far this year, trouncing Rivian's R1T, which has only sold 10,387 units. This is despite the Cybertruck's higher sticker price, with a base price of $82,235, compared to Rivian's R1T, which starts at $71,700. Worse still, Rivian lost an average of $39,130 on every car it sold -- up from $30,448 last year. With a gross margin of negative 45%, it costs the company more to manufacture and deliver its cars than it can recoup by selling them. CEO Ryan Scaringe believes he can change the situation. He claims the company is on track to achieve gross profitability in the fourth quarter by improving revenue per unit and variable costs per unit. This will involve selling regulatory credits, improving materials costs, and unlocking manufacturing efficiencies. But this doesn't fix Rivian's core problem with heavy competition and poor top-line growth. Can the situation be turned around? There are several things Rivian can do to try to turn its situation around. The first step will be to secure the funding needed to stay in business. To that end, the company has partnered with industry giant Volkswagen Group to launch a $5.8 billion joint venture to focus on creating EV software and architectures. Rivian will benefit from cash infusions, while Volkswagen will get access to its more advanced technology. While this deal makes sense in the short term, it is alarming to see Rivian giving up part of its economic moat to a potential competitor. Volkswagen vehicles are expected to begin using Rivian's architecture by 2027. All this being said, I'm still cautiously optimistic about Rivian. The company doesn't seem to be a life-changing buy right now. But underneath the noise, it makes quality products that consistently win awards for safety and consumer satisfaction. And eventually, enough buyers might take notice. While it's too early to buy Rivian stock, investors should keep it on their watch list pending more information. In conclusion, the passing of Liu Dabeili is a stark reminder of the unpredictable nature of life and the importance of cherishing each moment we have with our loved ones. A robust defense is essential for any successful basketball team, as it not only prevents the opposing team from scoring but also creates opportunities for fast breaks and offensive plays. By encouraging Liu to play more aggressively on the defensive end, the coach is laying the foundation for a more solid and impenetrable defense for the Shanxi team.GUWAHATI: The Union Minister of Ports, Shipping & Waterways, Sarbananda Sonowal met the Minister of Enterprises, Government of Italy, Adolfo Urso , in an effort to deepen the maritime cooperation between the two countries. Find out during Bengals-CowboysPINKHAM'S GRANT, N.H. — A large avalanche in New Hampshire's White Mountains was captured on video on Tuesday. The slide, recorded by the Mount Washington Avalanche Center, occurred on Hillman's Highway after several inches of fresh snow. According to the avalanche center, the slide was triggered naturally. Persistent wind had caused an additional buildup of snow on the mountainside, and weather conditions are expected to create an elevated risk for avalanches in the coming days. The center has not begun its five-scale daily avalanche forecast and is reminding members of the public to be ready to make their own assessments of snow conditions. "If you are unsure of how to make these assessments, hiring a guide is a great option to drastically reduce your risk," the Avalanche Center wrote in a social media post. The avalanche center regularly leads rescue missions when hikers and backcountry skiers are caught in avalanches.

The incident quickly gained traction online, with many expressing outrage and disbelief at the leader's callous remarks. It raised important questions about the importance of mental health, work-life balance, and the treatment of employees in the workplace.Black Friday can do one in my opinion. Don’t be sucked in by the so-called deals, when there’s reports aplenty that retailers ramp up prices ahead of the event to pretend slash them and suck you in to buying more things you probably don’t need. I know the marketing and PR push around the event is hard to avoid in the news, on social media, in shop windows and life in general. But you must know by now that it’s just more clever marketing to keep us all in this bleak spiral of consumerism that’s ruining our planet. I often hear from retail bosses about how they provide the goods on their shelves because that’s what their customers want - but if that’s really the case then why do they employ clever PR people and marketers who’ve really done their psychology homework in a bid to keep us buying more and more and more. In reality, all any of us really need is a warm and happy home; nutritious food in our bellies and clean water to drink; clothes that suit the season; as well as community, friends, family connections and something to do that keeps us sane, feeling loved an fill us with some purpose. We don’t need ‘buy one get one free’ on things we don’t need; bathroom cupboards full of creams that promise this, that or the other; wardrobes filled with hundreds of garments and shoes or enough toys to fill the family’s main room at home and the latest hot gadgets - no matter what the ads say. Yet in a bid to fill the void left by loneliness, hopelessness and unfulfillment in our everyday lives because we simply don’t have the time for family and friends and the world seems stuck in a doom spiral; we all rush to buy more stuff for that quick hit of happiness instead of examining our real problem. It’s like we’re all little zombie hamsters stuck on an endlessly cycling wheel of working, buying, using and discarding. I know that in the world our ancestors shaped for us, we need to work to make money to feed ourselves, keep a home and have a family if that’s what you want. But when did incessant consumerism become our factory setting? When did it stop mattering how much we use up and throwaway - even if we are sending it to charity shops to alleviate our shame. If we don’t soon stop - the imagined world of Wall-e will be real for all of us. We’ve already seen it in the mounting mountains of waste in far flung places around the world where our discarded clothes and shoes are piled high in deserts, rivers and on beaches - because we somehow stupidly think that sending it to the poorest places on Earth with the fewest environmental protections that it will be treated in a way that doesn’t pollute the planet. It’s time to wake up people. I know it’s nice to buy new things - I feel that joy too. But when are we going to take responsibility for the burden we are putting on the planet and stop buying things we don’t need? Yes COP29 was a major cop out - and world leaders yet again failed to deliver a date to phase out all fossil fuels and provide the poorer countries in the world with the money they need to put in renewables and turn their backs on fossil fuels. Yes, billionaires have a much bigger carbon footprint than most of us put together, buy far more stuff, have much bigger houses and probably a jet and yacht they never tire of using. But the only thing we can control is what we do personally - so let’s not turn a blind eye to our own weaknesses because we see others doing worse. We all have a hand in the mess our planet is becoming - not just the rich, not just the fossil fuel execs and not just the politicians and that’s because we are all blindly buying into the world we’ve let them create for us. When elections come around - do we vote in the Greens en mass because we know they will take the decisions that need to be made for the best of the planet we call home? No, we don’t. That’s because we’re all sitting here thinking we can carry on as usual, as the world falls down around us, and someone else will fix it for us. They won’t. As long as we keep buying massive cars, huge houses and all the clothes and shoes and devices you want and taking cheap flights five times a year while turning a blind eye to the mess we are leaving in our wake - we are all to blame. We are among the millions of consumers on which this world now rotates - and as long as we keep buying into the reality that we need more of everything, nothing will ever change. But, what if we didn’t? Imagine the power we would wield. Retailers will no longer be able to use the excuse they are supplying what the customer wants. So say ‘no’ to a new phone every year, don’t upgrade your TV every time a new model appears and for the love of God, stop with these hauls from Shein and TikTok and wherever else you are buying clothes stitched together by kids using materials that are killing their corner of the world. We can and must do better - because while we’ve had some devastating floods locally - we’re yet to see the worst of what the climate crisis has in store for us and if we don’t change our ways, we all deserve a share of the blame. Well Ulster Wildlife have just made that idea possible through an amazing partnership with the An Creagán Centre in Co Tyrone. If you head along to their festive event on Saturday, December 7 you could come home with a real that will also help restore Haughey’s Bog to the way it should be. Sitka spruce trees are not supposed to grow in bogland, but after years of peat extraction that allowed the area to dry out they have started to take over. Now families across NI are being invited to come and cut one down to take it home - while helping restore the bog to help in the fight against the climate crisis because intact bogs store carbon emissions. Participants will learn about these restoration efforts while getting to pick and cut a real Christmas tree to take home! Bryan Ward, Senior Peatlands Officer with Ulster Wildlife said: “This is a unique opportunity to make a difference while creating special festive memories. While we wouldn’t typically encourage single-use Christmas trees, in this case, removing the invasive Sitka spruce is vital for the recovery of this precious peatland habitat.” The event is from 10.30am-1pm, with pre-booked time slots. Booking is essential . There is no charge for this event, but a suggested donation of £10 will help support the local nature conservation charity’s vital work to bring nature back. SEOUL, South Korea (AP) — South Korea's embattled President Yoon Suk Yeol avoided an opposition-led attempt to impeach him over his short-lived imposition of martial law , as most ruling party lawmakers boycotted a parliamentary vote Saturday to deny a two-thirds majority needed to suspend his presidential powers. The scrapping of the motion is expected to intensify protests calling for Yoon’s ouster and deepen political chaos in South Korea, with a survey suggesting a majority of South Koreans support the president’s impeachment. Yoon’s martial law declaration drew criticism from his own ruling conservative People Power Party, but the party is also determined to oppose Yoon’s impeachment apparently because it fears losing the presidency to liberals. After the motion fell through, members of the main liberal opposition Democratic Party rallied inside the National Assembly, chanting slogans calling for Yoon's impeachment or resignation. The party's floor leader, Park Chan-dae, said it will soon prepare for a new impeachment motion. Opposition parties could submit a new impeachment motion after a new parliamentary session opens next Wednesday. “We'll surely impeach Yoon Suk Yeol, who is the greatest risk to Republic of Korea,” party leader Lee Jae-myung said. “We'll surely bring back this country to normal before Christmas Day or year's end.” Many experts worry Yoon won’t be able to serve out his remaining 2 1⁄2 years in office. They say some PPP lawmakers could eventually join opposition parties’ efforts to impeach Yoon if public demands for it grow further. The ruling party risks "further public outrage and national confusion if they don’t find a formula fast for Yoon’s departure,” said Duyeon Kim, a senior analyst at the Center for a New American Security in Washington. PPP chair Han Dong-hun said his party will seek Yoon’s “orderly” early exit but didn’t say when he can resign. Protests against Yoon are swelling On Saturday, tens of thousands of people packed several blocks of roads leading to the National Assembly, waving banners, shouting slogans and dancing. Protesters also gathered in front of PPP’s headquarters near the Assembly, shouting for its lawmakers to vote to impeach Yoon. A smaller crowd of Yoon’s supporters, which still seemed to be in the thousands, rallied elsewhere in Seoul, calling the impeachment attempt unconstitutional. Impeaching Yoon required support from 200 of the National Assembly's 300 members. The Democratic Party and five other small opposition parties, which filed the motion, have 192 seats combined. But only three lawmakers from PPP participated in the vote. The motion was scrapped without ballot counting because the number of votes didn’t reach 200. National Assembly Speaker Woo Won Shik called the result “very regrettable” and an embarrassing moment for the country’s democracy. If Yoon is impeached, his powers will be suspended until the Constitutional Court decides whether to remove him from office. If he is removed, an election to replace him must take place within 60 days. The president apologizes for turmoil Earlier Saturday, Yoon issued an apology over the martial law decree, saying he won’t shirk legal or political responsibility for the declaration and promising not to make another attempt to impose it. He said would leave it to his party to chart a course through the country’s political turmoil, “including matters related to my term in office.” “The declaration of this martial law was made out of my desperation. But in the course of its implementation, it caused anxiety and inconveniences to the public. I feel very sorry over that and truly apologize to the people who must have been shocked a lot,” Yoon said. Since taking office in 2022, Yoon has struggled to push his agenda through an opposition-controlled parliament and grappled with low approval ratings amid scandals involving himself and his wife. In his martial law announcement on Tuesday night, Yoon called parliament a “den of criminals” bogging down state affairs and vowed to eliminate “shameless North Korea followers and anti-state forces.” The declaration of martial law was the first of its kind in more than 40 years in South Korea. The turmoil has paralyzed South Korean politics and sparked alarm among key diplomatic partners like the U.S. and Japan. “Yoon’s credibility overseas has been undermined by declaring martial law, so he won’t be able to exercise leadership in his foreign policies especially when his days are numbered,” Kim, the analyst, said. “Its government bureaucracy will need to continue business as usual for existing alliance and foreign policy initiatives as best it can because there is a lot of important work to do globally.” Tuesday night saw special forces troops encircling the parliament building and army helicopters hovering over it, but the military withdrew after the National Assembly unanimously voted to overturn the decree, forcing Yoon to lift it before daybreak Wednesday. Eighteen lawmakers from the ruling party voted to reject Yoon’s martial law decree along with opposition lawmakers. PPP later decided to oppose Yoon's impeachment motion. Yoon’s speech fueled speculation that he and his party may push for a constitutional amendment to shorten his term, instead of accepting impeachment, as a way to ease public anger over the marital law and facilitate Yoon’s early exit from office. Lee told reporters that Yoon’s speech was “greatly disappointing” and that the only way forward is his immediate resignation or impeachment. His party called Yoon’s martial law “unconstitutional, illegal rebellion or coup.” Lawmakers on Saturday first voted on a bill appointing a special prosecutor to investigate stock price manipulation allegations surrounding Yoon’s wife. Yoon accused of ordering arrests of politicians On Friday, Han, who criticized Yoon’s martial law declaration, said he had received intelligence that during the brief period of martial law Yoon ordered the country’s defense counterintelligence commander to arrest unspecified key politicians based on accusations of “anti-state activities.” Hong Jang-won, first deputy director of South Korea’s spy agency, told lawmakers Friday that Yoon had ordered him to help the defense counterintelligence unit to detain key politicians including Han, Lee and Woo. The Defense Ministry said Friday it suspended three military commanders including the head of the defense counterintelligence unit over their involvement in enforcing martial law. Vice Defense Minister Kim Seon Ho has told parliament that Defense Minister Kim Yong Hyun ordered the deployment of troops to the National Assembly. Opposition parties accused Kim of recommending to Yoon to enforce martial law. Kim Yong Hyun resigned Thursday, and prosecutors imposed an overseas travel ban on him.Joseph said the next steps for the clinical team assigned to his restoration case will happen on Monday when they petition a Pueblo mental health court to allow them to involuntarily provide Vallejos medication.
